About the Job:

AMfB is looking for a Legal Manager. S/he will be responsible for the effective and efficient management of the legal department, provision of legal advisory services, and ensuring effective management of legal and contractual risks.

Tasks and Responsibilities:

•   Regulatory compliance:

o   Formulate compliance check-lists to be used for the purpose of ensuring that all information required is provided accordingly;

o   Continuously monitor compliance with statutory obligations and advise management accordingly;

o   Prepare monthly and quarterly reports for the department for executive management meetings.

•   Contract negotiation:

o   Prepare, review, and modify contractual instruments to assist and support various business activities including service level agreements, tenancy agreements etc.;

o   Review all contracts or any other documentation where the company has committed itself and assess legal implications that need to be brought to the executive management's attention;

o   Negotiate, review, and draft documentation for business transactions and prepare and advise on the necessary checklist to be adopted to ensure information is submitted on time.

•   Policy development:

o   Review and advise management on legal implications of internal policies and procedures;

o   Review and draft contracts, agreements and internal policies and ensure that they are in compliance with all statutory or legal requirements.

•   Legal risk:

o   Provide legal protection and risk management advice to management especially on contract management;

o   Provide and interpret legal information, conduct training and disseminate appropriate legal requirements to staff;

o   Review and provide legal advice on tender documents;

o   Review ongoing cases and advice management accordingly;

o   Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.

•   Litigation management:

o   Review progress of outstanding litigation and liaise with and manage external solicitors.

•   Administrative duties:

o   Provide continuous leadership, supervision, training and development of department staff ensuring an effective and motivated team;

o   Liaise with the HR department in conducting performance appraisals and ensure competency and training gaps are addressed.

•   Company secretarial duties:

o   Convening and servicing annual general meetings (AGM), board committee meetings, and management meetings (producing agendas, taking minutes, conveying decisions etc.);

o   providing support to committees and working parties such as the board of directors etc;

o   Keeping and maintaining statutory books/records;

o   Liaising with shareholders and all stakeholders;

o   Filing returns and giving notifications to regulatory agencies such as CAC, NIPC and SEC;

o   Implementing procedural/administrative systems;

o   Handling correspondence before and after meetings;

o   Writing reports;

o   Collating information;

o   Providing legal/financial advice during and outside of meetings.

o   Administering pension schemes and share issues;

o   Dealing with company/staff insurance policies;

o   Dealing with the company properties;

o   Managing contractual arrangements with suppliers/customers.

Qualifications:

•   LLB undergraduate degree;

•   Masters degree will be an added advantage;

•   Must be a Barrister/Solicitor of the Supreme Court of Nigeria;

•   At least 8 years legal experience ideally in bank or corporate organization, with a proven track record in contract negotiation and drafting;

•   Proven track record of providing accurate and effective legal counsel;

•   Proven track record of adding value to an organization through the development of comprehensive contract documents that mitigate risk and penalties.
