Job Title: Company Secretary and Legal Adviser

Location: Kogi, Nigeria  

Employer: Mortgage Bank

A primary Mortgage Banking Institution owned by the Kogi State Government and the Local Governments in the State is in the process of hiring competent, well-qualified and multi-talented candidates that will constitute part of the Bank's leadership.

The Role: This role reports to the Board of Directors with a dotted line reporting relationship with the Managing Director. He/She is the Chief Legal Officer of the Bank and is expected to be the reservoir of knowledge In connection with the laws and statues governing the Nigerian banking industry.

Responsibilities:

•   Attend all the meetings of the Board of Directors and prepare the minutes covering the deliberations at such meetings.

•   Propagate Search efforts and compile Search Reports on borrowing and new customers of the Bank.

•   Hold in appropriate and adequate custody, documents relating to the exposures of the PMI to its numerous customers, for examples, collaterals, guarantees and Indemnities

•   Prepare/Vet Contractual Agreements with third parties and ensure that the Interest of the Bank is adequately protected at all times.

•   Cover the legal aspects of the functions of the PMI's subsidiary is well protected.

•   Attend all the meetings of the Board Committees and prepare the minutes covering the deliberations at such Board Committee meetings.

•   Maintain appropriate, correct and authentic minutes books of the PMI for the purposes of regulatory inspection and review.

•   Maintain appropriate Attendance Registers for the Board of Directors and

•   Board Committee members.

•   Perform some administrative and personnel duties that may be part of the work portfolio of this position.

Professional/Personal Requirements:

•   Possession of a law degree, LL Band BL is a necessity

•   5 years experience in the Legal department of a bank

•   Competence in maintaining Register of Members and/or effective liaison with the Registrars

•   Ability and/or personal orientation to work with peers and subordinates without being either augmentative or punitive

•   Strong track record of accurate record keeping without divulging official matters to third-parties.

•   In-depth knowledge of the laws relating to both the mortgage and banking industry in general

•   Adequate experience in liaising and dealing with the Corporate Affairs Commission

•   Good standing in matters relating to Corporate Governance and Principles

•   In-depth knowledge of the Companies and Allied Matters Act

•   Good measure of experience in conducting and directing affairs at Annual

•   General Meetings
