Job Title: Company Secretary

RESPONSIBILITIES:

•   Attending the meetings of the company, the Board of Directors and its committees.

•   Rendering all necessary secretarial services in respect of meetings and advising on compliance by the meetings with the applicable rules and regulations;

•   Maintaining the registers and other statutory records

•   Manage all corporate affairs and communications on behalf of the organization

•   Rendering proper returns and giving notifications required to be given to the Corporate Affairs Commission

•   Provide advisory services on issues that relate to legal and regulatory requirements and liaise with relevant regulatory bodies

•   Carrying out such administrative and other secretarial duties as directed by the directors of the company.

•   Review and authorize all expenditure/transactions of the legal department in line with the approved departmental budget and organizational policy

•   Ensuring compliance with regulatory matters

•   Liaising with accountants, lawyers and other professional advisers in relation to various corporate matters

QUALIFICATION AND EXPERIENCE:

•   Must possess a higher degree or professional qualification such as LLM or ACIS

•   Membership of the Institute of Chartered Secretary Association of Nigeria(ICSAN) will be an advantage

•   7-10 years post call experience in a dynamic business environment; experience in the insurance sector will be an added advantage.

•   Ability to communicate effectively, both orally and in writing

•   Strong working knowledge of in Microsoft Office

•   Excellent computer and secretarial skills

•   Must possess interpersonal skills

•   Excellent leadership, negotiation, planning and organization skills
