JOB SUMMARY

•   The Finance Advisor shall work within the Legal Services Shared Services Centre (SSC) and will primarily be responsible for providing day-to-day legal support and supervision on the finance aspects of various legal transactions and corporate projects/assignments regarding the Oando Group.  The Finance Advisor will also be required to provide legal support and supervision on M&A transactions.

•   The Finance Advisor shall provide transaction and operational support and practical advice, geared towards the effective and efficient management of the legal needs of each transaction/assignment handled.  The Finance Advisor's services shall be for the benefit of Oando PLC; with the requisite support to the subsidiaries of Oando Plc, as and when required.

SPECIFIC DUTIES & RESPONSIBILITIES

•   Execute work/implement best practices for legal services on assigned transactions.

•   Process legal transactions; prepare and review agreements and other legal documents including but not limited to bank offer letters, termsheets, facility agreements, shareholder agreements, security documentation, guarantees, as may be requested of users from time to time.

•   Attend meetings and negotiate contracts with third parties and or with the various Oando entities.

•   Liaise with Group Finance, Group Treasury, external solicitors and external financial advisors on ongoing transactions.

•   Provide timely, proactive and thorough advise on the legal implications of various finance documentation and transactions;

•   Provide support with various corporate /transaction structuring and restructuring tasks;

•   Write/review basic letters, file, update and archive legal documents and case folders.

•   Maintain and periodically update the database maintained by the Legal Services department.

•   Submit timely reports of the finance and M&A projects across the Group, to the Chief Legal Officer.

•   Litigation/Arbitration management.

•   Provide support to subsidiary entities of Oando PLC on major transactions.  

QUALIFICATIONS AND EXPERIENCE          

•   1st degree in Law (minimum of Second class (lower division)

•   7 years legal work experience either from a reputable law firm or within the Legal Department of a reputable and structured business environment

•   Significant experience in Finance transactions

•   Experience in mergers and acquisitions

•   Ability to perform general and complex legal analysis

•   Strong & effective business communication (verbal and writing skills)

•   Ability to plan and execute complex assignments under pressure

KNOWLEDGE AND SKILLS REQUIRED

•   Good basic understanding of Oando's business

•   Knowledge of the local, national and international laws and regulations pertaining to the various industries in which the Group's businesses operate

•   Negotiation skills

•   Contract Management

•   Legal Documentation

•   Basic Accounting
