VANCOUVER, BRITISH COLUMBIA–(Marketwired – Feb. 28, 2014) – Brisio Innovations Inc. (CSE:BZI) (the “Company“), today announces that it intends to complete a non-brokered private placement financing (the “Financing“) of up to 833,333 units (each, a “Unit“) at a price of $0.30 per Unit for gross proceeds of up to $250,000. Each Unit will consist of one common share of the Company (each, a “Share“) and one-half of one share purchase warrant (each, a “Warrant“). Each whole Warrant will entitle the holder thereof to purchase one additional Share at a price of $0.45 per Share for a period of one year from closing of the Financing, subject to an acceleration provision whereby, in the event that the Shares trade above $0.60 per Share for a period of ten consecutive trading days, the Company may accelerate the expiry date of the Warrants, to a date that is thirty days after the completion of such period.
The proceeds of the Financing will be used for general working capital. Finders’ fees may be payable in connection with the Financing in accordance with the policies of the Canadian Securities Exchange.
The Company also announces today that it has granted stock options to certain of its directors, officers and consultants to purchase a total of 300,000 common shares of the Company pursuant to the terms of the Company’s stock option plan. All of the options are exercisable at a price of $0.30 per share for five years.
